RELEASE FORM Independent Contractor Agreement & Liability Release * This Agreement is entered into between Ask A Construction Pro (“Company”) and the undersigned Independent Contractor (“Contractor”) on the date signed below. 1. Independent Contractor Status - Contractor is an independent contractor and not an employee, partner, joint venturer, or agent of Company. - Contractor is solely responsible for all taxes, insurance, licenses, tools, and expenses. - Contractor is free to perform services for others, provided such services do not conflict with or breach this Agreement. - Contractor is not entitled to employee benefits, workers’ compensation, or unemployment insurance. Scope of Work Contractor will provide construction consulting and educational guidance only, including: - Reviewing bids, reports, and plans. - Explaining construction concepts to clients. - Suggesting questions for clients to ask licensed professionals. Contractor may not: - Perform or supervise physical construction work. - Provide step-by-step instructions for licensed trades (electrical, plumbing, structural, etc.). - Guarantee outcomes, safety, or code compliance. - Sign, seal, or submit permit or engineering documents. Liability & Indemnification - Company shall not be liable for any claims, damages, losses, injuries, or code violations arising from Contractor’s services. - Contractor agrees to indemnify, defend, and hold harmless Company, its owners, officers, employees, and affiliates from any claims, demands, liabilities, or expenses related to Contractor’s work, statements, or conduct. - Contractor assumes full responsibility for the accuracy, legality, and appropriateness of any advice or materials they provide. Confidentiality & Intellectual Property - Contractor may have access to Company’s confidential information, trade secrets, pricing, client lists, marketing strategies, and materials. - Contractor shall not disclose, use, or profit from such information except in the performance of this Agreement. - All work product, written materials, or resources created for Company clients remain the sole property of Company unless otherwise agreed in writing. - Confidentiality obligations shall survive termination of this Agreement. Non-Solicitation & Non-Competition During the term of this Agreement, Contractor shall not, directly or indirectly: - Solicit or attempt to solicit Company’s clients for services substantially similar to those offered by Company. - Divert or attempt to divert business away from Company. - Hire or attempt to hire Company’s employees or contractors. - Contractor may perform general consulting services for other parties, provided they do not interfere with this Agreement or misuse Company’s confidential information. Term & Termination -This Agreement may be terminated by either party at any time with written notice. - Company may terminate immediately for breach of confidentiality, non-solicitation, or scope of work restrictions.
